1. Agreement to terms
These Terms of Service (“Terms”) govern access to and use of the websites, software, and services offered by YStarEdu, Inc. (“YStarEdu,” “we,” “us,” or “our”) (collectively, the “Services”). By accessing or using the Services, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.
If you are entering into these Terms for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
2. Description of the Services
YStarEdu provides tools for scheduling, student and staff management, homework and academic workflows, billing-related workflows as configured, reporting, and related administrative functions. Features available to you depend on your subscription, your organization’s configuration, and your assigned role and permissions.
We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable; we will not materially reduce core functionality of a paid subscription during the current term without a good-faith remedy or refund as described in your order form or agreement with us.
3. Accounts and eligibility
You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account, except where caused by our breach of security obligations. Notify us promptly at support@ystar.edu if you suspect unauthorized access.
Administrators may provision, suspend, or remove users within their organization’s workspace. We may suspend or terminate access for violations of these Terms, security risks, or non-payment where applicable.
4. Acceptable use
You agree not to:
- Use the Services in violation of law or third-party rights.
- Attempt to gain unauthorized access to the Services, other accounts, or our systems (including probing, scanning, or circumventing security).
- Upload malware, overload infrastructure, or interfere with other users’ access or experience.
- Use the Services to send unsolicited bulk communications without lawful consent and appropriate opt-out mechanisms.
- Misrepresent your identity, impersonate others, or mislead users about the origin of content.
- Reverse engineer, decompile, or disassemble the Services except to the limited extent permitted by applicable law.
Customers are responsible for their users’ compliance with these rules and for obtaining rights and consents needed for data they submit to the Services.
5. Customer data and privacy
“Customer Data” means information submitted to the Services by or on behalf of a Customer or its users. As between you and us, the Customer owns its Customer Data. You grant us a worldwide license to host, process, transmit, and display Customer Data solely to provide and improve the Services, secure the platform, and comply with law.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference.
6. Intellectual property
The Services, including software, branding, documentation, and content we provide (other than Customer Data), are owned by YStarEdu, Inc. and its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights.
You may not remove proprietary notices, copy our product to build a competing service, or use our trademarks without prior written permission.
7. Third-party services
The Services may integrate with or link to third-party products. Those services are governed by their own terms and privacy policies. We are not responsible for third-party content or practices.
8. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL YSTAREDU, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF NO FEES APPLIED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless YStarEdu, Inc. and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your Customer Data, or your violation of these Terms or applicable law, except to the extent caused by our material breach or gross negligence.
11. Term and termination
These Terms remain in effect while you use the Services. We may suspend or terminate access for breach, risk, or as required by law. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive.
Export or retention of Customer Data after termination may be governed by your separate agreement with us or your organization’s administrator.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to applicable law, exclusive jurisdiction and venue for disputes will be the state and federal courts located in Delaware, and you consent to personal jurisdiction there.
13. General
These Terms constitute the entire agreement between you and us regarding the Services and supersede prior oral or written understandings on the same subject. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
